These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Nashi Holdings, LLC, a California limited liability company operating as CitationIQ.com ("CitationIQ.com," "we," "us," or "our"). These Terms govern your access to and use of the CitationIQ.com platform, website, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not create an account or use the Service.
1. Eligibility and Acceptance
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the terms "you" and "your" refer to that entity.
Your continued use of the Service following any modifications to these Terms constitutes acceptance of those modifications. We will notify you of material changes as described in Section 15.
2. Description of Service
CitationIQ.com provides AI platform answer visibility analytics and business intelligence. The Service analyzes how artificial intelligence platforms evaluate, reference, and present information about your business when responding to user queries. CitationIQ.com delivers data-driven insights to help you make informed decisions about your digital content strategy.
The specific features, tools, and capabilities available to you depend on your subscription plan. Current plan details are available at https://www.citationiq.com/pricing. From time to time, we may offer beta or early-access features. Such features are provided as-is without warranty, may be modified or discontinued at any time, and are subject to the disclaimers in Section 9.
The Service is designed to provide analytical intelligence. CitationIQ.com does not guarantee any specific outcomes, rankings, or visibility improvements on any AI platform or search engine. AI platform behavior is determined by those platforms and is outside our control.
3. Account Registration and Security
To access the Service, you must create an account by providing accurate and complete registration information. You agree to update your information promptly if it changes.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Each subscription entitles you to one account. Account credentials are non-transferable and may not be shared with or used by any other person.
You agree to notify us immediately at admin@citationiq.com if you become aware of any unauthorized use of your account or any other security breach. In the event of a data breach affecting your personal information, we will notify you in accordance with applicable law.
We reserve the right to suspend or terminate your account if we reasonably believe your account has been compromised, is being used in violation of these Terms, or poses a risk to the Service or other users. During any period of suspension, your access to the Service will be restricted and your billing may be paused or continued at our discretion depending on the nature of the suspension. Suspension does not waive or reduce any fees owed.
4. Fees, Billing, and Auto-Renewal
Subscription Fees
Access to the Service requires a paid subscription. Current pricing is available at https://www.citationiq.com/pricing. All fees are stated in U.S. dollars.
Billing
Subscription fees are billed on a recurring monthly basis through our third-party payment processor. By subscribing, you authorize us to charge your designated payment method for the applicable subscription fee each billing cycle.
Certain subscription plans may be billed on an annual basis. Annual subscriptions are billed in advance for the full year and are subject to the same auto-renewal and cancellation provisions described herein.
If you sign up for a free trial, should one be offered, your access will be limited to the trial period specified at signup. At the end of the trial, your subscription will convert to a paid plan unless you cancel before the trial expires.
Automatic Renewal
IN ACCORDANCE WITH CALIFORNIA BUSINESS AND PROFESSIONS CODE SECTIONS 17600-17606 (AUTOMATIC RENEWAL LAW), YOU ARE HEREBY NOTIFIED:
Your subscription will automatically renew at the end of each billing period at the then-current subscription rate unless you cancel before the renewal date. You will be charged the applicable subscription fee for each renewal period using the payment method on file. You may cancel your subscription at any time as described in Section 5.
By subscribing, you consent to this automatic renewal and recurring billing arrangement. A confirmation of your subscription terms, including the renewal terms and cancellation procedures, will be sent to you at the email address associated with your account.
Failed Payments
If a payment cannot be processed, we will attempt to notify you and may retry the charge. If payment remains unsuccessful after a reasonable period, we may suspend or terminate your access to the Service. You remain responsible for any outstanding fees.
Price Changes
We may adjust subscription pricing with at least 30 days' prior written notice. Price changes will take effect at the start of your next billing cycle following the notice period. Your continued subscription after a price change constitutes acceptance of the new pricing. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.
Public Beta Access and Auto-Conversion
IN ACCORDANCE WITH CALIFORNIA BUSINESS AND PROFESSIONS CODE SECTIONS 17600-17606 (AUTOMATIC RENEWAL LAW), YOU ARE HEREBY NOTIFIED OF THE FOLLOWING TERMS APPLICABLE TO PUBLIC BETA ACCESS ACCOUNTS:
From time to time, we offer a limited Public Beta Access program at a one-time fee of $89.00 USD. This fee grants 30 days of full platform access. The 30-day access period begins at the time your payment is confirmed and ends 30 days later at midnight Pacific Time, rounded to give you the benefit of any partial day.
By completing the $89.00 payment, you expressly authorize CitationIQ.com to store your payment method for future use and to automatically initiate a recurring Founding Member subscription at $179.00 USD per month upon expiration of your 30-day beta access period. This automatic conversion will occur unless you cancel your account before your beta access period expires. You will receive reminder notices at approximately 9 days and 3 days before your access period expires, as well as a confirmation email on the day your Founding Member subscription activates.
The Founding Member rate of $179.00 USD per month is a special rate available exclusively to Public Beta Access participants who convert to a paid subscription at the conclusion of their beta period. This rate is subject to the following conditions:
(a) The Founding Member rate applies only to direct accounts and is not available to agency or consultant accounts;
(b) The Founding Member rate is locked for the life of the account and will not increase due to standard pricing adjustments, provided the account remains active and in good standing;
(c) The Founding Member rate is personal and non-transferable and may not be assigned to any other individual, entity, or account;
(d) If your Founding Member account is closed, canceled, or lapses due to non-payment, the Founding Member rate is permanently forfeited and cannot be reinstated. Any subsequent account opened under the same or different credentials will be subject to the then-current standard pricing;
(e) If your account becomes dormant, defined as 90 or more consecutive days with no report activity, we reserve the right to reclassify your account to the then-current standard rate upon written notice. You will have 30 days from the date of notice to resume activity and retain your Founding Member rate.
Cancellation during the beta access period: if you cancel your account during your 30-day beta access period, no refund of the $89.00 access fee will be issued. You will retain full platform access through the end of your 30-day period. Your account will not auto-convert to a Founding Member subscription and no further charges will be made. To cancel, log in to your account and use the cancellation option in your account settings at citationiq.com/dashboard/account. If you are unable to access your account, contact us at admin@citationiq.com and we will work with you to process your cancellation request within two business days. Cancellation must be completed before your beta access period expires to avoid the automatic conversion charge.
5. Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us at admin@citationiq.com.
Upon cancellation, your access to the Service will continue through the end of your current billing period. No partial-month refunds will be issued.
Following the end of your billing period after cancellation, your account data will be handled in accordance with our Privacy Policy. You may request an export of your data at any time while your account is active or during the 30-day post-closure period described in our Privacy Policy. After that period, data that has been deleted cannot be recovered.
EU/UK Right of Withdrawal
If you are located in the European Union or United Kingdom, you may have a statutory right of withdrawal within 14 days of purchase. By accessing and using the Service during this period, you expressly consent to the immediate performance of the Service and acknowledge that you waive your right of withdrawal once the Service has been accessed.
6. Acceptable Use
You agree not to, and will not permit any third party to:
(a) Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, scoring methodologies, or underlying structure of the Service;
(b) Share, transfer, or allow access to your account credentials with any unauthorized person;
(c) Use any automated means, including AI agents, bots, scrapers, or crawlers, to access the Service, except through features expressly provided within the Service itself;
(d) Reproduce, duplicate, copy, sell, resell, or otherwise exploit any portion of the Service for purposes other than your own internal business use, or use the Service to build a competing product or service;
(e) Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure;
(f) Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
(g) Submit false, misleading, or malicious data to the Service;
(h) Circumvent, disable, or otherwise interfere with any security or access control features of the Service.
Violation of this section may result in immediate suspension or termination of your account without refund.
7. Intellectual Property
Our Intellectual Property
The Service, including its software, design, analytical methodologies, scoring systems, reports, documentation, and all related intellectual property, is and remains the exclusive property of Nashi Holdings, LLC. These Terms do not grant you any ownership interest in the Service.
Your Content
You retain all ownership rights to the content and data you provide to or through the Service, including your website content, domain information, and business data.
By using the Service, you grant us a limited, non-exclusive license to access, process, and analyze your content solely for the purpose of providing the Service to you. This license terminates when your subscription ends, subject to our data retention practices described in our Privacy Policy.
Report Outputs
You may use the analytical reports and data generated by the Service for your own business purposes, including sharing with your employees, advisors, and clients. If you maintain an agency or consultant account, you may incorporate report data and analytical findings into deliverables you provide to your clients as part of your professional services. This includes presenting, interpreting, and advising upon report outputs in connection with services you provide to your clients.
You may not resell, redistribute, sublicense, or make available the Service itself, the raw report data, or the analytical outputs as a standalone product, data feed, or as part of a product or service that competes with or substitutes for the Service. For clarity, providing professional services that are informed by report outputs is permitted; repackaging the Service or its outputs as your own analytics platform is not.
8. Third-Party Services
The Service relies on third-party data providers, AI platforms, and infrastructure services. We do not control these third-party services and are not responsible for their availability, accuracy, performance, or policies.
You acknowledge that:
(a) Results generated by the Service may vary based on third-party platform behavior, which can change at any time without notice;
(b) We are not liable for any interruption, degradation, or discontinuation of third-party services;
(c) Changes to third-party platform APIs, terms, pricing, or functionality may affect the features or performance of the Service;
(d) Our ability to deliver certain aspects of the Service depends on continued access to third-party services, which is outside our control.
If you elect to use any "bring your own key" functionality to connect your own third-party API accounts, you are solely responsible for all charges, terms, and usage associated with those accounts. We are not responsible for any costs incurred on your third-party API accounts.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:
(a) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
(b) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE;
(c) ANY SPECIFIC OUTCOME, RANKING, CITATION, OR VISIBILITY IMPROVEMENT WILL RESULT FROM YOUR USE OF THE SERVICE;
(d) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
AI PLATFORM BEHAVIOR IS DETERMINED BY THOSE PLATFORMS AND IS SUBJECT TO CHANGE AT ANY TIME WITHOUT NOTICE. CITATIONIQ.COM PROVIDES ANALYTICAL DATA TO INFORM YOUR DECISIONS BUT DOES NOT AND CANNOT CONTROL HOW AI PLATFORMS EVALUATE, CITE, OR PRESENT INFORMATION.
YOU ACKNOWLEDGE THAT YOU USE THE SERVICE AT YOUR OWN RISK AND THAT YOUR USE OF THE SERVICE AND RELIANCE ON ANY INFORMATION PROVIDED THROUGH THE SERVICE IS SOLELY AT YOUR DISCRETION.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by applicable law.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NASHI HOLDINGS, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Nashi Holdings, LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
(a) Your use of the Service or any activity under your account;
(b) Your violation of these Terms or any applicable law or regulation;
(c) Your violation of any third party's rights, including intellectual property rights;
(d) Any content or data you submit to or through the Service.
This indemnification obligation will survive termination of your account and these Terms.
12. Dispute Resolution and Arbitration
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
Mandatory Arbitration
YOU AND NASHI HOLDINGS, LLC AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, except that either party may bring an individual action in small claims court if the claim qualifies.
Arbitration shall be administered by JAMS under its Streamlined Arbitration Rules and Procedures, or by another mutually agreed-upon arbitration provider. The arbitration shall take place in Ventura County, California, or at another mutually agreed-upon location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AND NASHI HOLDINGS, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall be resolved in the courts identified below.
Judicial Forum
To the extent that arbitration is found inapplicable or unenforceable, you agree that any judicial proceeding shall be brought exclusively in the state or federal courts located in Ventura County, California. You consent to the personal jurisdiction and venue of such courts.
Notice of Dispute
Before initiating arbitration, you must first send us a written notice of dispute at admin@citationiq.com describing the nature and basis of the claim and the specific relief sought. We will attempt to resolve the dispute informally within 30 days of receiving notice. If the dispute is not resolved within 30 days, either party may proceed to arbitration.
Opt-Out
You may opt out of this arbitration provision by sending written notice to admin@citationiq.com within 30 days of first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out of arbitration. If you opt out, the judicial forum provisions above shall apply.
13. Force Majeure
Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, government actions, third-party platform changes or outages, API deprecations or modifications, internet or telecommunications failures, cyberattacks, or power outages. If a force majeure event continues for more than 60 consecutive days, either party may terminate these Terms upon written notice.
14. General Provisions
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Nashi Holdings, LLC regarding the Service and supersede all prior agreements and understandings.
Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us to be effective.
Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of our assets. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their permitted successors and assigns.
Notices
All notices from us to you will be sent to the email address associated with your account. All notices from you to us should be sent to admin@citationiq.com or by mail to the address listed in our Privacy Policy. Notices are deemed received when sent by email, or three business days after mailing.
Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Non-material changes may take effect immediately upon posting.
Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the changes take effect.
The "Last Updated" date at the top of these Terms indicates when the most recent revisions were made.
